1. Confidentiality & The NDA Commitment

At RyteGrid Technologies Ltd., we understand that your system architecture, business logic, and code are your most valuable competitive assets. Confidentiality is our default operating posture.

We treat all project briefs, discovery discussions, and technical specifications submitted via our intake channels as confidential business information. Before beginning any formal code audit, repository access, or technical discovery sprint, we sign a bilateral Non-Disclosure Agreement (using either your standard legal agreement or our vetted template).

Note: Public diagnostic queries entered into our online Business AI Advisor are processed statelessly by AI models and are outside formal bilateral NDA obligations; please avoid submitting trade secrets or passwords into public web forms.

Data Controller & Scope

The data controller is RyteGrid Technologies Ltd., operating in Lagos, Nigeria (contact: legal@rytegrid.tech). We comply with the Nigeria Data Protection Act 2023 (NDPA), regulations issued by the Nigeria Data Protection Commission (NDPC), and handle cross-border data in line with global best practices (including GDPR principles).

Information Collection & Diagnostic Tools

We collect only the information necessary to evaluate your engineering requirements and communicate effectively:

• Contact & Intake Data: Name, work email, phone/WhatsApp number, company name, and project specifications submitted through our intake protocol.
• AI Diagnostic Tool: Challenges submitted to the Business AI Advisor are processed in real time by AI model providers (such as OpenAI or Anthropic) via API to generate recommendations. Submissions to the Advisor are not retained in an internal user profile database.
• Technical Metadata: Anonymized server logs, basic analytics, and error telemetry to ensure system security and uptime.

Legal Basis & Purpose

Data is processed based on legitimate interest in responding to engineering inquiries, performance of pre-contractual steps, or explicit consent. Data is never sold, leased, or weaponized for third-party marketing.

Third-Party Processors

To deliver our services, we utilize vetted infrastructure processors: Cloudflare (edge hosting & security), Supabase (managed encrypted database hosting), Meta/WhatsApp Cloud API (conversational communication), and licensed LLM providers for model routing. All communications are encrypted in transit (TLS 1.3) and at rest.

Your Rights & NDPC Recourse

Under the NDPA, you have the right to request access to, rectification of, or erasure of your personal data, as well as the right to object to processing. To exercise these rights, contact legal@rytegrid.tech. You also have the right to lodge a complaint with the Nigeria Data Protection Commission (NDPC) at ndpc.gov.ng.

Engineering & Client Engagements

All software engineering, cloud architecture, and automation sprints are governed by an executed Master Services Agreement (MSA) and Statement of Work (SOW). Key terms include:

• Intellectual Property: Upon full settlement of agreed phase invoices, 100% of the custom IP, codebase, and deliverables created for your project transfer to you without vendor lock-in.
• Payment & Deposits: Engagements run on fixed milestones or structured sprint retainers with agreed upfront deposits. Third-party API and infrastructure costs (e.g. AWS, Meta WhatsApp Business API, model tokens) are billed directly to client accounts.
• Governing Law: All client agreements are governed by the laws of the Federal Republic of Nigeria, with jurisdiction in Lagos, unless an alternative jurisdiction is explicitly agreed upon in a bilateral SOW.

Startup Launchpad Disclosures

RyteGrid Technologies Ltd. provides technology, system setup, and filing facilitation. We are not a law firm or licensed accounting practice. Entity filings (US LLC, UK LTD) and banking facilitation are subject to third-party registrar and financial institution KYC approval. We do not provide formal tax or legal advice.

AI Integrations & Platform Policies

Conversational bots and automation systems built for WhatsApp, Telegram, or other platforms are engineered to strictly adhere to Meta Business Terms and applicable carrier policies. Clients must maintain compliant opt-in and consent flows for their end-users.
